1. Conclusion of Contract

1.1 Applicability of the General Terms and Conditions

‍These General Terms and Conditions (GTC) apply to all contracts between NUIR GmbH (Company) and its customers, unless otherwise agreed in individual cases. Customers are defined as all persons who acquire or have acquired the right from the Company to use the Recovery Services as defined in Section 2 (Customers).

‍1.2 Conclusion of Contract and Booking

‍Contracts between the Company and customers are concluded through offer and acceptance in accordance with Sections 145 et seq. of the German Civil Code (BGB). Registration for or booking of Recovery sessions, workshops, or other services and events (Events) offered by the Company constitutes a binding offer by the customer to conclude a corresponding contract in accordance with Section 145 BGB, whereby booking can be made via email, letter, telephone, the online booking form on www.rcvr-now.com, or the RCVR.NOW App. Acceptance by the Company occurs through the dispatch of a booking or payment confirmation via email. Participation in booked Events is excluded before full payment of the invoice amount, unless otherwise agreed. The confirmation for a place in a workshop only becomes binding once the respective fees have been paid in full.

‍2. Recovery Services

2.1 Scope and Provision of Recovery Services

‍The company specifically offers individual sessions and group applications in the field of Cellular Tuning, including Red Light Therapy (PBM), Altitude Training (IHHT), Hydro Wave, and Lymphatic Drainage Boots. Additionally, the company's offerings also include workshops and other recovery services (collectively referred to as Recovery Services). To provide these Recovery Services, the company operates a studio in Berlin. The Recovery Services are conducted in this studio or in specially rented premises.

‍2.2 Opening Hours and Changes to Recovery Services

‍The studio opening hours (Opening Hours) and the current recovery services offered are published and continuously updated on the company's website (www.rcvr-now.com). The company reserves the right to hold events in alternative premises at a reasonable distance from the RCVR.NOW studio if necessary. In such cases, customers will be informed of the respective venue at least one week before the event begins.

The company further reserves the right to make necessary changes regarding the opening hours of the RCVR.NOW studio, the recovery services offered, and the staff supervising the respective sessions. Such changes will be announced on the website www.rcvr-now.com and at the RCVR.NOW studio.

If fewer than five participants are registered for individual events up to 14 days before the event begins, the company reserves the right not to hold the affected events. Affected customers will be informed of the cancellation by email. In this case, the company will offer a free rebooking for a suitable alternative event at the earliest possible date, in consultation with the affected customers. Already paid fees will be credited in the event of a rebooking. Should affected customers not wish for an alternative date, the fees paid will be refunded.

‍2.3 Individual Sessions and Credit Packages

‍The company offers individual sessions and credit packages (multi-session tickets) for booking recovery services, which entitle you to book and participate at the RCVR.NOW studio. Credit packages are valid for 3/6/12 or 24 months from the date of purchase (varies depending on the package size).

‍5Credit packages are generally personalized, valid for one person each, and non-transferable to third parties. Notwithstanding this, credits can be transferred to spouses, life partners, and children through the sharing function. Further transferability may be possible in individual cases for special reasons (pregnancy, relocation, permanent illness, or injuries) after prior consultation with the company. The validity period of credit packages begins at the time of the first redemption. Unused credits expire after the validity date. A refund of paid fees is excluded. The validity period can be extended in special exceptional cases.

‍3. Prices, Payment Terms, Offsetting

3.1 Price List

‍Participation fees and charges, as well as information and details for booking the recovery services, can be found in the company's current price list, available on the website www.rcvr-now.com and on-site at the RCVR.NOW studio.

‍3.2 Due Date for Fees

‍Unless otherwise agreed, participation fees and charges are due immediately upon conclusion of the contract.

‍

‍3.3 Payment

‍Payment for the invoiced participation fees or charges can be made via SEPA direct debit, credit card, instant bank transfer, or on-site at the studio via EC card or credit card. For online bookings via www.rcvr-now.com or the RCVR.NOW app, payment is possible using online payment systems (e.g., instant bank transfer) or credit card.

‍3.4 Discounts and Promotions

Discounts, promotions, or other special offers are limited to the respective specified period of validity. Promotional vouchers are only accepted when submitted in their original form. A combination of multiple discounts from different promotional or special offers within a single booking is excluded.

‍3.5 Set-off

‍The customer is only entitled to a right of set-off if their counterclaims have been legally established, acknowledged, or are undisputed by the company.

‍4. Non-Participation, Termination

4.1 Cancellation, No-Show, Non-Participation

‍Please note that in the event of cancellation, no-show, or other non-participation in booked sessions or events, a claim for reimbursement of the participation fee or event fee, or parts thereof, is excluded. For bookings of individual sessions, a cancellation period of 12 hours before the session begins applies. Cancellations within this 12-hour period will not be refunded.

‍4.2 Statutory Termination and Withdrawal Rights

‍Any statutory termination and withdrawal rights to which customers may be entitled remain unaffected.

‍5. Liability

5.1 Conditions for Liability

‍The company, its legal representatives, or its vicarious agents shall only be liable for damages if the damage is due to gross negligence or intent, or caused by a culpable breach of a material contractual obligation (cardinal obligation), i.e., an obligation whose fulfillment is essential for the proper execution of the contract or whose violation jeopardizes the achievement of the contract's purpose, and on whose observance the contracting party may therefore regularly rely.

‍5.2 Exclusion of Liability

‍In all other respects, the company's liability for damages, regardless of the legal basis, is excluded.

‍

‍5.3 Limitation of Liability

‍If the Company is liable according to Section 5.1(b) for the breach of a material contractual obligation without gross negligence or intent, then liability is limited to the extent of damages that the Company typically had to expect at the time of contract conclusion based on the circumstances known to it at that time.

‍

‍5.4 Exceptions to the Exclusion of Liability

‍The foregoing limitations or exclusions of liability do not apply in cases of culpable injury to life, body, and health, for liability claims under the Product Liability Act, or in the event of a contractually agreed strict liability.

‍

‍5.5 Liability for Personal Belongings and Valuables

‍Customers are advised not to bring any personal belongings or valuables into the RCVR.NOW Studio or other event rooms. The Company assumes no responsibility for their safekeeping or other duties of care for personal belongings or valuables brought in. Depositing money, personal belongings, or valuables in lockers provided by the Company does not create any obligations on the part of the Company regarding the items placed therein.

‍5.6 Health Suitability

‍Customers should only participate in the Recovery offering if they are in full health. In their own interest, the Company recommends that customers discuss their intention to participate with a doctor, especially in cases of specific health problems such as physical ailments, previous surgeries, pregnancy complications, heart conditions, or other relevant pre-existing medical conditions, before participating in the Company's offerings, and to disclose any existing health limitations when booking and upon participation.

‍6. Copyrights

6.1 Protection of ContentE

It is hereby noted that the copyright and/or exclusive rights of use for all materials, concepts, and publications belong to the Company, and any further use thereof, particularly reproduction or disclosure to third parties, is prohibited or requires the express written permission of the Company.

‍6.2 Contractual Penalty

‍Violations will be penalized in each individual case with a flat contractual penalty of EUR 3,500. Further claims for damages remain unaffected by this.

‍

‍6.3 Photo and Film Recordings

Participants consent that photographs or film recordings made in the RCVR.NOW Studio may be used without compensation and without temporal or spatial restrictions in audiovisual or print media, as well as on digital channels.

‍7. Data Protection

Data Collection

‍The company collects, transmits, processes, and stores personal data related to the respective contracts, to the extent and for as long as this is necessary for the establishment, execution, and processing of the contract and the company is obliged to retain this data due to legal regulations.

‍8. Final Provisions

8.1 Place of Performance

‍The place of performance for all services is Berlin.

‍

‍8.2 Place of Jurisdiction

‍The exclusive place of jurisdiction for all disputes arising from the business relationship is Berlin. The mutual right to sue the contractual partner at their general place of jurisdiction remains unaffected.

‍

‍8.3 Online Dispute Resolution

‍The European Commission provides a platform for out-of-court online dispute resolution. Disputes can be submitted to the European Commission's online dispute resolution platform for settlement. Use of the platform is free of charge. The platform is available to customers who have made an online purchase and are resident within the EU.

‍

‍The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
